Digital Domain Establishes Level 1 American Depositary Receipt Programme

Hong Kong, November 11, 2024 — Digital Domain Holdings Limited (“Digital Domain” or the “Company”, Stock Code: 547), a global leader in visual effects and transformative experiences, today announced its establishment of a sponsored Level 1 American Depositary Receipt (“ADR”) Programme (“Programme”) with The Bank of New York Mellon (BNY Mellon), which became effective.

 

An ADR is a negotiable receipt, resembling a stock certificate that is issued by a United States of America (“US”) depositary bank appointed by the Company to evidence one or more American Depositary Shares (“ADSs”), each of which represents five hundred (500) ordinary shares of the Company.

 

Under the Programme adopted by the Company, the ADRs will be issued against ordinary shares trading on the Main Board of The Stock Exchange of Hong Kong Limited that have been deposited with a custodian bank under the Programme.

 

Under the Programme, the owners and holders of ADSs have the same rights to dividends and distributions and voting powers as the holders of ordinary shares of the Company subject, however, to enforcement procedures provided in the Deposit Agreement entered into by and among BNY Mellon, as the depositary, the Company and the owners and holders of ADSs.

 

The number of ADSs registered by the Company under the Programme is 300,000,000 ADSs. The establishment of the Programme by the Company is not a new offering of shares and the ADRs are based on the shares of the Company currently in issue. Therefore, the Company receives no proceeds from the establishment of the Programme.

 

“We are very excited about this ADR program as it has broad appeal among US institutions and will enable Digital Domain to proceed on its path of gaining high accessibility to the US capital markets,” says Seah Ang, CEO and Chairman of the Board of the Company. “The availability of ADRs in the US is expected to generate significant interest among US investors that can lead to an increase in shareholder value as the Company continues to execute on its strategy of becoming a US-based entity.”

 

The Company has selected BNY Mellon as the nominated depository bank. Digital Domain Appoints Mr. Henry HOOI as Non-Executive Director and Chief Strategic Advisor

Hong Kong, November 1, 2024 — Digital Domain Holdings Limited (“Digital Domain” or the “Company”, stock code: 547), a global leader in visual effects and transformative experiences, recognized for nearly two decades of pioneering work in the virtual human space, today announced the appointment of Mr. Henry HOOI Hing Lee (“Mr. HOOI”) as non-executive director and chief strategic advisor of Digital Domain, effective from November 1, 2024. This appointment reflects Digital Domain’s emphasis on and commitment to the overall operations, development, and long-term growth.

Mr. HOOI has over 31 years of professional experience in the finance industry, having held various roles in business and operational management at major banks and financial institutions across Hong Kong, Australia and Singapore. He is also the founder of pH Capital Limited, an impact investment company. Additionally, he is an independent non-executive director of a HKSE listed Frontier Services Group Limited.

With his formal appointment as a non-executive director, he will also advise on the Company’s strategy in leveraging the Company’s proprietary AI enabled technologies to expand beyond entertainment.
